Terms & Agreements

These Terms & Agreements govern all transactions, orders, and services provided by Source Creative (“we”, “us”, “our”). By placing an order, requesting samples, or engaging our services, the client (“buyer”, “you”) agrees to the terms outlined below.

1. Company Overview
Source Creative is a sourcing agency and buying house based in India, providing sustainable fabrics and made-to-order garment production for ethical clothing brands and designers globally. Our services include fabric sourcing and development, sampling, and production of garments and accessories in small to medium quantities.

2. Scope of Services

Source Creative provides sourcing, development, sampling, and production services for fabrics, garments, and accessories.

Our services may include, but are not limited to:

• Sourcing and development of fabrics

• Handwoven, hand-dyed, printed, and artisanal textile development

• Fabric swatches, sampling, and bulk supply

• Garment sampling and made-to-order garment production

• Coordination with partner artisans, manufacturers, and service providers

The exact scope for each project—including specifications, quantities, timelines, and deliverables—is defined and confirmed in writing prior to order confirmation.

Any services not explicitly agreed upon in writing are not included and may be quoted separately.

3. Product Nature & Custom Orders
Most fabrics and garments supplied by Source Creative are made-to-order.

• Fabrics and garments may vary slightly from swatches, samples, or reference images due to the handmade, small-batch, or artisanal nature of production

• Minor variations in weave, shade, texture, finish, or measurements are inherent to such processes and are not considered defects

• Custom production timelines are discussed and agreed upon prior to order confirmation

4. Quality, Tolerances & Acceptance
Fabrics
A tolerance of 2–3% across the order is considered acceptable for:

• Minor weaving irregularities

• Small stains or dye marks

• Slight shade variation from approved swatches

Garments
Garments are produced based on approved samples, patterns, and size specifications. A reasonable tolerance may apply for:

• Minor measurement variations

• Stitching or finish differences that do not affect wearability or overall design

Such tolerances are within accepted industry standards and do not qualify for returns or refunds.
If a defect significantly impacts usability, Source Creative will assess the issue and propose a fair resolution.

5. Order Confirmation & Approvals

• Orders are confirmed only upon written confirmation or receipt of a purchase order

• All approvals related to samples, specifications, pricing, and timelines must be provided in writing

• Any changes requested after approval may impact cost and timelines

6. Pricing & Payment Terms

• Final pricing is shared after specifications are confirmed

• Once approved, pricing is locked for that order

• Prices may change only in case of buyer-approved changes to fabric, garment details, finishes, quantities, or overall project scope

Payment terms (advance, milestone-based, etc.) are agreed upon at the time of order confirmation. Delays in payment may affect production schedules and delivery timelines.

7. Production Timelines
Production timelines are estimates based on confirmed specifications, material availability, and production capacity.
While we make every effort to adhere to agreed timelines:

• Timelines may be affected by factors beyond our control, including artisan availability, weather conditions, logistics, or third-party dependencies

• If any risk to the agreed timeline is identified during production, the buyer will be informed promptly with available options or a revised plan
   

8. Errors & Rectification
In the event of an error attributable to Source Creative:

• The issue will be evaluated transparently

• Appropriate corrective action will be proposed, which may include reworking, re-production, or a commercial adjustment

• The nature of the resolution will depend on the impact of the error and feasibility

No corrective action will be taken without buyer consultation.

9. Shipping & Delivery

• Shipping is arranged from India to the buyer’s destination

• Shipping charges are confirmed in advance and vary by destination, weight, and courier

• Delivery timelines are indicative and may be impacted by customs clearance, courier delays, or unforeseen circumstances

Source Creative is not responsible for delays caused by third-party logistics providers or customs authorities.

10. Returns, Cancellations & Claims

• Returns are not accepted for made-to-order fabrics or garments unless defects exceed agreed tolerances and render the product unusable

• Cancellations after production has commenced are not eligible for refunds

• Any claims regarding quality or quantity must be raised within 5 days of receipt of goods

Claims raised after this period may not be entertained.

11. Intellectual Property

• All fabric designs, developments, patterns, and samples created by Source Creative or its partner artisans remain our intellectual property unless otherwise agreed in writing

• Buyers are responsible for ensuring they hold rights to any designs, artworks, or references provided to us
   

12. Limitation of Liability
Source Creative shall not be liable for:

• Indirect or consequential losses, including loss of sales, business interruption, or missed retail timelines

• Delays or failures caused by third-party vendors, couriers, customs authorities, or force majeure events

Our liability, if any, shall be limited to the value of the goods or services supplied for the specific order in question.

13. Dispute Resolution
In the unlikely event of a dispute, both parties agree to first attempt resolution through good-faith discussion and mutual consultation.
If the dispute cannot be resolved amicably, the parties may mutually agree to pursue mediation or arbitration before initiating legal proceedings.

14. Jurisdiction & Governing Law
These Terms & Agreements are governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, India.

15. Policy Updates
Source Creative reserves the right to amend or update these Terms & Agreements at any time. Updated versions will be published on our website with the applicable “Last Updated” date.
